These Terms of Use (the “Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and 1573171 B.C. Ltd., doing business as SPORTAMii (“SPORTAMii”, “we”, “us”, or “our”), governing your access to and use of the SPORTAMii mobile application, website, and related services (collectively, the “Service”).

By accessing or using the service, you acknowledge that you have read, understood, and agree to be legally bound by these terms and our privacy policy. If you do not agree, you must not use the service.

1. Eligibility

The Service is intended solely for individuals who are at least eighteen (18) years of age. By using the Service, you represent and warrant that:

• You meet the eligibility requirements
• You have the legal capacity to enter into these terms and your use complies with all applicable laws.

We reserve the right to request proof of age and suspend accounts that violate this requirement.

2. Nature of the Service

SPORTAMii is a technology platform that enables users to connect for recreational sports activities.

SPORTAMii:

• Does not organize, host, supervise, or control any activities
• Is not responsible for user conduct or interactions
• Does not verify identities, skill levels, or qualifications.

All interactions and activities are solely between users.

3. Account Registration

You agree to:

• Provide accurate and complete information;
• Maintain account security;
• Accept responsibility for all activity under your account.

4. User Content

You may upload or share content, including profile information, photos, messages and sports preferences. You retain ownership of your content. However, you grant SPORTAMii a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, display and distribute such content for the purpose of operating, maintaining, and improving the Service. You are responsible for your content and must have the necessary rights to share it.

5. Community Guidelines and Acceptable Use

You agree to comply with SPORTAMii’s community standards. Prohibited conduct includes:

• Harassment, abuse, or discrimination
• Misrepresentation of identity or skill level
• Unsafe or reckless behaviour
• Illegal or harmful activities
• Enforcement Framework

SPORTAMii may, in its sole discretion:

• Remove content
• Issue warnings
• Temporarily suspend accounts
• Permanently terminate access.

Enforcement decisions are final and may be made without prior notice.

6. Trust & Safety; Reporting

SPORTAMii may provide tools to report misconduct or unsafe behaviour. You acknowledge that:

• SPORTAMii does not guarantee response times or outcomes
• We are not obligated to investigate all reports
• We may take action where deemed appropriate for user safety or platform integrity.

In situations involving imminent harm, users should contact local emergency services.

7. Assumption of Risk; Release and Waiver

You acknowledge that sports and in-person activities involve inherent risks, including serious injury or death. To the maximum extent permitted by law, you

• Voluntarily assume all risks arising from your use of the service
• Agree that your participation is at your own risk
• Release, waive, and discharge SPORTAMii from any and all claims, demands, or damages arising out of:
  • User interactions
  • Sports activities
  • Negligence of other users.

THIS RELEASE APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CLAIMS BASED ON ORDINARY NEGLIGENCE.

8. Indemnity (User Responsibility)

You agree to indemnify, defend, and hold harmless SPORTAMii from any claims, damages, liabilities, and expenses arising from

• Your use of the Service
• Your participation in activities
• Your interactions with other users
• Your breach of these Terms

9. Suspension and Termination

SPORTAMii may suspend or terminate access at any time for any reason, including risk to users or violation of these Terms.

10. Intellectual Property

All rights in the Service are owned by SPORTAMii or its licensors. You are granted a limited, revocable, non-commercial license to use the Service.

11. Disclaimer of Warranties

The service is provided “as is” without warranties of any kind.

12. Limitation of Liability

To the maximum extent permitted by law, Sportamii and its affiliates shall not be liable for:

• Indirect damages
• Lost profits
• Reputational harm
• Personal injury
• Damages resulting from interactions between users

If liability cannot be excluded under applicable law, our total liability shall not exceed the greater of $100 CAD or the amount you paid for the Service (if any) during the previous 12 months.

13. Dispute Resolution

You agree that any dispute, claim, or controversy (“Dispute”) shall be resolved as follows:

Informal Resolution

You must first attempt to resolve disputes with SPORTAMii within 30 days.

Arbitration (Optional)

Disputes may be resolved by binding arbitration in British Columbia by mutual agreement.

Cost Allocation

Unless required otherwise:

• Each party bears its own legal costs
• Arbitration costs are shared equally
• The arbitrator may award costs to the prevailing party.

Court Proceedings

If arbitration is not used, disputes shall be resolved in British Columbia courts.

Class Action Waiver

To the maximum extent permitted by law, you agree that:

• all disputes shall be resolved on an individual basis
• you waive any right to participate in a class action, class arbitration, or representative proceeding.

Consumer Rights

Nothing limits non-waivable legal rights.

Injunctive Relief

SPORTAMii may seek injunctive relief in any jurisdiction.

14. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of British Columbia and Canada.

16. Mobile Platform Terms

Apple and Google terms apply. Apple is a third-party beneficiary.
